Terms
Merchant Terms of Service
Last updated September 2026
This agreement is between SEMO Tech (Service Engineer Misr Office Tech), operating as DigiCards Lab, and a business ("merchant") subscribing to the service. It covers the DigiCards Lab subscription itself, not payment processing, which is governed separately by our payment provider's own terms.
1. The service
DigiCards Lab designs, issues, and maintains Apple Wallet and Google Wallet passes (loyalty, membership, gift, coupon, ticket, or staff ID cards, per what the merchant subscribes to) on the merchant's behalf, and provides a barista/counter scan app and a merchant dashboard with per-branch reporting.
2. Fees and billing
The service is billed as a flat monthly subscription, tiered by number of locations, with no setup fee. Billing is processed through our payment provider, Paymob. There is no minimum term; a merchant may cancel at any time, effective at the end of the current billing cycle (see our Refund & Cancellation Policy).
3. Data protection
For personal data belonging to the merchant's own end customers (name, and any other field the merchant configures at enrollment), the merchant is the data controller and DigiCards Lab acts as data processor, in line with Egypt's Personal Data Protection Law (151/2020). This data is hosted on AWS in the eu-south-1 (Milan) region, a cross-border transfer the merchant authorizes by using the service. Full detail is in our Privacy Policy.
4. Intellectual property
DigiCards Lab retains all rights to its platform, pass-rendering technology, and dashboard. The merchant retains all rights to its own brand assets (logo, colours, copy) and grants DigiCards Lab a license to use them solely to design and issue the merchant's passes.
5. Brand mark usage
DigiCards Lab may include a small, monochrome “Delivered by DigiCards Lab” mark on the back of an issued pass. This mark may not be removed, recoloured, or altered by the merchant.
6. Liability
DigiCards Lab's total liability under this agreement is capped at the fees paid by the merchant in the three months preceding the claim. Neither party is liable for indirect or consequential losses.
7. Termination
Either party may terminate this agreement for any reason with reasonable written notice, or immediately in the event of the other's material breach that remains uncured after notice. Both parties can walk away. This is what backs our “no lock-in” commitment.
8. Confidentiality
Each party will keep the other's non-public business information confidential, and use it only to perform this agreement.
9. Force majeure
Neither party is liable for a delay or failure to perform caused by events outside its reasonable control.
10. Assignment
Neither party may assign this agreement without the other's prior written consent, except to a successor of substantially all of its business.
11. Governing law
This agreement is governed by the laws of Egypt, and the courts of Cairo have exclusive jurisdiction over any dispute arising from it.
